These Terms & Conditions ("Terms") govern your use of the website gtsinfosoft.com (the "Site") and the software development, design, and digital marketing services provided by GTS Infosoft LLP ("GTS Infosoft", "we", "us", "our"). By using our Site or engaging us for any service, you ("you", "the Client") agree to these Terms. If you do not agree, please do not use the Site or our services.
1. Our Services
GTS Infosoft is a software development and IT services company. We provide custom software development, mobile and web application development, UI/UX design, QA, cloud and DevOps, AI/ML engineering, and digital marketing services. The specific scope, deliverables, timeline, and fees for any engagement are set out in a written proposal, quotation, statement of work, or service agreement ("SOW") agreed between you and us. These Terms apply together with the applicable SOW; where an SOW and these Terms conflict, the SOW prevails for that engagement.
2. Quotes & Estimates
Estimates, indicative pricing, and timelines provided on the Site, in our cost calculator, or during discussions are approximate and for guidance only. A binding scope and price are established only in a signed or written-accepted SOW. Estimates may change if the requirements, scope, or third-party dependencies change.
3. Fees & Payment
Our published rates are indicative and start at approximately USD 20 per hour for a senior developer (which includes project management, code reviews, and standups), with QA engineers, designers, and junior developers billed at lower rates. The rate and billing model for your engagement are confirmed in your SOW.
- Fixed-scope projects are billed against agreed milestones, typically with a 10–20% initiation payment and the remainder split across milestones.
- Dedicated-team and hourly engagements are invoiced monthly against tracked hours, with no large upfront deposit.
Unless stated otherwise, fees are exclusive of applicable taxes, and of third-party costs such as hosting, cloud infrastructure, app-store fees, paid APIs, licenses, and SMS/email providers, which are billed to or paid directly by you. Invoices are payable by the due date stated on the invoice. We reserve the right to pause work on overdue accounts after reasonable notice.
4. Your Responsibilities
To let us deliver on time, you agree to provide timely feedback, approvals, content, assets, access, and any information we reasonably need, and to nominate a point of contact empowered to make decisions. Delays in providing these may affect timelines and cost. You are responsible for ensuring that any material you provide to us does not infringe the rights of any third party.
5. Intellectual Property & Code Ownership
You own the custom software, source code, and deliverables you pay for. We provide administrative access to your own source-control repositories from day one, and a full handover of the work on completion or exit; code escrow is available on request. Ownership of paid-for deliverables transfers to you on full payment for the relevant work.
We retain ownership of our pre-existing tools, frameworks, libraries, and general know-how, and of any reusable components not specific to your project; where these are embedded in your deliverables, we grant you a perpetual, non-exclusive licence to use them as part of the delivered work. Unless you ask us not to, we may reference the general nature of the work in our portfolio and marketing, without disclosing confidential details.
6. Confidentiality
We treat your business information, ideas, and materials as confidential and use them only to deliver your engagement. We are happy to sign a Non-Disclosure Agreement (NDA) on request before receiving sensitive information. Each party will protect the other's confidential information and will not disclose it to third parties except as needed to perform the services or as required by law.
7. Warranty & Support
We provide a 90-day warranty after delivery, during which we fix, at no additional charge, defects where the delivered work does not match the agreed specification. The warranty does not cover new features, changes to requirements, issues caused by third-party services or changes you or others make to the code, or problems arising from misuse. Ongoing maintenance and new work are available under a separate arrangement.
If a team member becomes unavailable during your engagement, we provide a replacement at no additional cost, with a handover overlap to keep the work on track.
8. Cancellation & Refunds
Cancellations and refunds are governed by our Cancellation & Refund Policy. In summary, you pay for work performed and hours tracked up to the effective date of cancellation, and fees for work already delivered are non-refundable.
9. Third-Party Services
Our deliverables may rely on third-party platforms, APIs, libraries, and services. Those third parties operate under their own terms, and we are not responsible for their availability, changes, pricing, or failures. Costs charged by third parties are your responsibility.
10. Warranty Disclaimer
We perform our services with reasonable skill and care and to professional standards. Except as expressly stated in these Terms or an SOW, our services and any content on the Site are provided "as is", and we do not guarantee specific business outcomes, revenue, search-engine rankings, or results, which depend on many factors outside our control. We do not warrant that the Site or services will be uninterrupted or error-free.
11. Limitation of Liability
To the maximum extent permitted by law, neither party will be liable for any indirect, incidental, special, or consequential damages, including lost profits, loss of data, or loss of goodwill. Our total aggregate liability arising out of or in connection with an engagement will not exceed the fees paid by you to us for that engagement in the three (3) months preceding the event giving rise to the claim.
12. Indemnity
You agree to indemnify and hold GTS Infosoft harmless from claims, damages, and expenses arising from content, materials, or instructions you provide, from your use of the deliverables in breach of these Terms or applicable law, or from your infringement of any third-party rights.
13. Use of This Website
You may use the Site for lawful purposes only. You agree not to attempt to gain unauthorised access to the Site, disrupt it, scrape it in a way that harms its operation, or use it to transmit unlawful, infringing, or harmful material. The Site's content, design, and branding are owned by GTS Infosoft and may not be copied or reused without permission.
14. Changes to These Terms
We may update these Terms from time to time. Changes take effect when posted on this page. Your continued use of the Site or our services after changes are posted constitutes acceptance of the updated Terms. The terms of any active SOW are not changed by an update to these Terms unless both parties agree in writing.
15. Governing Law & Jurisdiction
These Terms are governed by the laws of India. Subject to any dispute-resolution terms in an applicable SOW, the courts at Jodhpur, Rajasthan, India will have jurisdiction over any dispute arising out of or in connection with these Terms.
